("YoloAI", "we", "us", or "our") collects, a corporation duly incorporated and existing under the laws of the State of Delaware, United States of America. Yolo Ai Technologies, Inc. has its principal place of business located at 131 Continental Dr, Suite 305, Newark, county of New Castle, Delaware, 19713 United States. This Agreement constitutes a legally binding contract between you and Yolo Ai Technologies, Inc. regarding your use of the YoloAI services.

Alternative Dispute Resolution

In compliance with EU consumer protection regulations, we provide Alternative Dispute Resolution (ADR) and Online Dispute Resolution (ODR) options for our EU customers:

Purpose and Application of the Terms of Service
This Terms of Service ("TOS") document governs the use of the YoloAI EDU platform and its associated services. It outlines the rights and responsibilities of users, as well as the terms under which YoloAI operates. We encourage you to read these terms carefully, as they define the legal framework of your relationship with Yolo Ai Technologies, Inc.
By accessing or using the YoloAI EDU platform, you agree to comply with and be bound by the TOS, as well as our Privacy and Data Management Policy. These documents together form a legally binding agreement between you and Yolo Ai Technologies, Inc.. for the use of YoloAI services.
Acceptance of the TOS is a prerequisite for using our services. By ticking the "I Accept the Terms of Service and Privacy Policy" box, you acknowledge that you have read, understood, and agree to all the provisions of the TOS, without any limitations or reservations. If you do not accept these terms, you must cease using the YoloAI EDU platform immediately.
In addition to the TOS, our Privacy and Data Management Policy, along with our Cookie Policy, explain how we handle the personal data we collect when you use our services and describe the measures we take to protect your personal information.
Definitions
For the purposes of this Agreement, the following terms shall have the meanings set forth below:
Administrator: An individual or entity that has administrative rights over a YoloAI EDU account, including managing user access and settings.
Agreement: This Terms of Service document, along with any additional policies and agreements referenced herein.
Children: Individuals under the age of 13 (or older as determined by applicable law) who use the YoloAI EDU platform.
YoloAI EDU: A service provided by YoloAI that offers educational tools and resources. It includes a personal library where users can upload learning materials, as well as a book recommendation feature that allows users to add textbooks to their library with a single click. YoloAI EDU operates on a subscription basis, granting access to the service during the subscription period.
YoloAI Brand: The trademarks, logos, and brand identity associated with YoloAI and its services.
License: The permission granted to users to access and use the YoloAI EDU platform and its services, as defined by this Agreement.
Public User Content: Any content created and shared by users on the YoloAI EDU platform that is accessible to other users or the public.
Materials: All content, data, and information available on the YoloAI EDU platform, including educational resources provided through YoloAI EDU.
Subscription: The arrangement whereby users pay a fee to access YoloAI EDU services for a specified period.
Services: The various functionalities and offerings provided by YoloAI, including but not limited to YoloAI EDU.
Subscription Period: The duration for which a user has access to the YoloAI services under a Subscription.
Terms: The terms and conditions set forth in this Agreement and any related policies.
Third-Party Applications: External software or services that can be integrated with the YoloAI platform.
User: Any individual that accesses or uses the YoloAI EDU platform.
User Content: All data, information, and materials uploaded or processed by users on the YoloAI EDU platform, including content within YoloAI EDU.
Service Description and Terms
Service Description
YoloAI processes and utilizes copyrighted materials uploaded by users or made available through its services. The primary source of data within the application is the user's personal library, where users can upload various documents. Additionally, YoloAI provides a book recommendation feature, allowing users to add textbooks to their library with a single click. All uploaded and recommended books are deduplicated to ensure efficient storage and processing. Users are responsible for ensuring that they have the right to upload and use any materials added to their personal library.
The list of recommended textbooks is curated based on general educational standards and user preferences, without endorsement of any specific content.
The core functionality of YoloAI revolves around interactive communication with a General Purpose AI models (like OpenAI GPT) (GPAI). Users can engage in conversations with the GPAI trough the YoloAI Service by asking questions or upload photos. The YoloAI EDU responds by searching the uploaded or recommended books for relevant content, which is utilized to generate a comprehensive and informative answer. The relevant content elements are displayed to the user alongside the response, providing transparency and additional context.
GPAI models designed to generate text-based responses to input queries. These models function by transforming the input data into new, meaningful insights rather than merely replicating the original works. This transformative use is a key aspect of the service, as it involves analyzing and synthesizing data to create new information, offering value beyond the original content. The use of copyrighted materials within YoloAI involves significant transformation, ensuring that the AI’s outputs provide new insights and understanding. This approach distinguishes YoloAI's use of materials from mere reproduction, as it aims to enhance learning and comprehension through innovative data analysis and presentation.
YoloAI implements stringent content filtering and moderation policies to create a safe environment for children. Our platform actively monitors and removes inappropriate content, and we are committed to maintaining a space where children can learn and explore safely.
Accuracy Disclaimer
Artificial intelligence and machine learning are rapidly evolving fields, and YoloAI continuously works to improve the accuracy, reliability, safety, and usefulness of its services. However, due to the probabilistic nature of machine learning, the output generated by YoloAI's underlying GPAI models may not always be accurate or reflect real people, places, or facts. Both YoloAI and the providers of the GPAI models underlying its services disclaim responsibility for the accuracy and appropriateness of the outputs generated.
When using YoloAI Services, you understand and agree to the following:
The output generated by YoloAI's services may not always be accurate. Users should not rely solely on this output as a source of truth or factual information, nor should it be used as a substitute for professional advice. It is crucial to independently verify the information and consult appropriate experts when necessary.
Users are responsible for evaluating the output from YoloAI Services for accuracy and appropriateness before use or dissemination. This includes conducting human reviews as appropriate, especially when the output is used in sensitive or significant contexts.
Users must not use the output related to any individual in a manner that could legally or materially affect that person. This includes, but is not limited to, decisions related to credit, education, employment, housing, insurance, legal, medical, or other significant areas.
YoloAI Services may occasionally provide incomplete, incorrect, or offensive output that does not reflect the views of YoloAI or the GPAI model's developers. Furthermore, if the output references third-party products or services, it does not imply endorsement or affiliation by those third parties with YoloAI, the underlying GPAI model or their service providers.
By using YoloAI's services, you acknowledge these limitations and agree to use the output responsibly and ethically, with a clear understanding of its potential inaccuracies and the need for careful evaluation.
User Conditions
When using YoloAI Services, users are expected to act responsibly and ethically. This means complying with all applicable laws and regulations, as well as adhering to the policies and guidelines set forth by YoloAI. Users should always respect the privacy and rights of others, ensuring that any personal or sensitive information they handle remains confidential and is not shared inappropriately.
General Responsibilities
Users are required to use YoloAI services in a lawful manner. This includes refraining from engaging in any activities that are illegal, such as committing fraud, engaging in identity theft, or distributing content that violates the law. The platform is designed to foster a safe and respectful environment, so any form of harassment, bullying, or threats directed at other users is strictly prohibited. Users must also avoid sharing content that is offensive, defamatory, obscene, or otherwise deemed inappropriate. This includes material that could harm the reputation or rights of others.
In addition to these responsibilities, users must not engage in spamming or the distribution of unsolicited messages. This type of activity can disrupt the platform's operation and annoy other users. Moreover, any attempt to hack, disrupt, or interfere with the technical functioning of YoloAI services, including its networks or systems, is considered a serious violation. Users are also prohibited from uploading or sharing content that infringes on the intellectual property rights of others, such as copyrighted works, trademarks, or patented materials.
Usage Restrictions
YoloAI services are intended primarily for personal, educational, or research purposes. The platform offers a range of tools and resources designed to assist users in these areas. Parental and Guardian Responsibility

Permission to Use Services and Materials (License)
License
YoloAI grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the YoloAI Services and Materials, subject to the terms and conditions outlined in this Agreement. This License allows users to interact with the platform's features, access educational resources, and utilize the tools provided for personal, educational, or research purposes.
The rights granted under this license are strictly for the user's personal use. This means that users can view, download, and interact with content and materials provided by YoloAI as long as they adhere to the guidelines set forth by the Yolo AI platform. The materials available on YoloAI, including but not limited to text, graphics, logos, and software, are protected by intellectual property laws and are owned or licensed by Yolo Ai Technologies, Inc.
Restrictions
Users are prohibited from:
Utilizing the platform's services and materials for commercial purposes without express authorization from YoloAI.
Modifying, adapting, translating, or creating derivative works based on the YoloAI Services and Materials.
Redistributing, sharing, or transmitting the materials to third parties without prior written consent from YoloAI.
Attempting to reverse engineer, decompile, or disassemble any software or technology used in the YoloAI platform.
Compliance with Terms
The authorized rights provided under this license are contingent upon users' compliance with the terms of this Agreement and any other policies set forth by YoloAI. Failure to adhere to these conditions may result in the suspension or termination of access to YoloAI Services and Materials, as well as legal action if necessary.

Payments, Cancellations, and Upgrades
General Payment Conditions
For paid subscriptions, users are required to provide valid payment information during the subscription process. Payments can be made using various methods, including credit/debit cards and other accepted payment platforms. Subscription fees are billed in advance, either on a monthly or annual basis, depending on the chosen plan. By providing payment information, users authorize YoloAI to charge the provided payment method for the subscription fees and any applicable taxes.
Subscription Periods
Each paid subscription plan is associated with a specific subscription period, either monthly or annually. Subscriptions automatically renew at the end of each period unless cancelled by the user. The renewal charges will be billed to the same payment method used for the initial purchase, unless the user updates their payment information. Users will receive prior notice of any changes in the renewal fees or terms.
Cancellations and Upgrades
Users can cancel their subscription at any time through their account settings. Cancellations will take effect at the end of the current subscription period, and users will continue to have access to paid features until the end of that period. There are no refunds for partial periods or unused services.
Price Changes and New Subscriptions
YoloAI reserves the right to change subscription fees or introduce new subscription options. In the event of a price change, existing subscribers will be notified in advance. Any changes in fees will apply from the next billing cycle after the notice period. Users who do not agree with the new pricing can cancel their subscription before the changes take effect.
Trial Versions and Discount Coupon Codes
YoloAI may offer trial versions of paid subscriptions, allowing users to access premium features for a limited time without charge. At the end of the trial period, users will be automatically charged the standard subscription fee unless they cancel before the trial ends.
Discount coupon codes may also be available, providing reduced rates on subscription fees. These codes must be applied at the time of purchase and cannot be retroactively applied. Each code may have specific terms and conditions, such as expiration dates or usage limits.
Taxes
The amount charged may vary based on the user's location and applicable tax laws. YoloAI will collect and remit taxes as required by law, and users will see the total amount, including taxes, at the time of payment.
Third-Party Applications

Users can sign in to YoloAI using their Facebook, Google, or Apple ID credentials, simplifying the account creation and login process. Additionally, YoloAI utilizes the Youtrack helpdesk system, a cloud-based solution for customer support, allowing users to submit and track support tickets efficiently.
Terms for Third-Party Applications
When using third-party applications through YoloAI, users agree to comply with the terms and conditions, as well as the privacy policies, of these third-party services. Each third-party application has its own set of terms, which users should review carefully. YoloAI is not responsible for the practices of these third parties, including their data handling and security measures.
Monitoring and Content Safety
To ensure the safety and integrity of the platform, all messages and interactions within YoloAI are subject to monitoring through built-in content moderation and fraud prevention filters. This system is designed to detect and prevent misuse, including potential abuse and fraudulent activities. The moderation system is aligned with industry standards, incorporating advanced technologies from platforms such as OpenAI's Moderation tools and Microsoft Azure's AI Content Safety services.
These integrations and monitoring measures are in place to provide a secure and compliant environment for all users. While YoloAI takes significant steps to ensure a safe experience, users are also encouraged to use the platform responsibly and report any suspicious activities or content they encounter.
Copyright Complaints
YoloAI respects intellectual property rights and has established procedures for addressing copyright infringement complaints. If you believe your intellectual property rights have been infringed, you can file a complaint by sending a detailed notice to the following address:

A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
YoloAI may remove or disable access to content alleged to be infringing and may terminate the accounts of repeat infringers, in accordance with our policies and applicable laws.

User Responsibilities
While YoloAI implements robust security measures, users also play a crucial role in maintaining the security of their accounts:
Users are responsible for keeping their login credentials confidential. They should not share their username or password with anyone and should avoid using the same password across multiple services.
Users should immediately report any suspicious activity or unauthorized access to YoloAI. Prompt reporting helps mitigate potential security breaches and ensures timely intervention.
Users should keep their account information, including email addresses and phone numbers, up to date. This ensures that YoloAI can reach them in case of security issues or account-related notifications.
Users are required to access YoloAI services from secure devices and networks. Without proper security measures, end user devices can become vulnerable entry points for cybercriminals, potentially leading to data breaches, identity theft, financial losses, or even large-scale corporate espionage.

Privacy
YoloAI is committed to protecting the privacy of its users. We collect, use, and manage personal information in accordance with applicable data protection laws and our comprehensive Privacy and Data Management Policy. This policy outlines how we handle your personal data, including the types of information we collect, how we use it, and the measures we take to protect it.
Duration of the Agreement
This Agreement between the user and YoloAI is effective from the moment the user accepts the Terms of Service and continues until either party terminates it. The scope of the agreement covers the use of YoloAI services, including any updates, modifications, or additional services provided during the term. Users agree to comply with the terms and conditions outlined in this Agreement as long as they continue to use YoloAI services.
Termination Conditions and Consequences
Users have the right to terminate their relationship with YoloAI at any time by deleting their profile within the platform and discontinuing the use of the services. Upon termination, the user will no longer have access to their account or any data associated with it. All obligations and liabilities incurred prior to the termination date will survive the termination of this Agreement.
Users based in the European Economic Area (EEA) have the right to withdraw from this Agreement within 14 days of accepting the terms, without providing any reason. To exercise this right, users can contact YoloAI Support or submit a completed model withdrawal form. Upon withdrawal, all access to the services will be terminated, and any payments made may be refunded according to applicable laws.
YoloAI reserves the right to terminate this Agreement and suspend or terminate user access to the services at any time, with or without notice, for reasons including but not limited to:
Violation of the Terms of Service or other applicable policies.
Non-payment of subscription fees.
Engagement in fraudulent or illegal activities.
Any action that may cause harm to YoloAI, its users, or its affiliates.
Upon termination, users are prohibited from accessing the services, and YoloAI may delete any associated data and content. Users will not be entitled to any refunds for prepaid services, except as required by law or as provided in the Agreement. All provisions of the Agreement that by their nature should survive termination, including intellectual property rights, disclaimers, and limitations of liability, will remain in effect.
Warranty and Liability Disclaimer
Service Warranties
YoloAI strives to provide a reliable and efficient service. However, the services are provided on an "as-is" and " as-available" basis, without any warranties of any kind, either express or implied. YoloAI does not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components. The accuracy, reliability, and completeness of the information and content provided through the services are not guaranteed.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, YOLOAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. USERS ACKNOWLEDGE THAT THEIR USE OF THE SERVICES IS AT THEIR OWN RISK.
Liability Disclaimer and Limitation
YOLOAI, INCLUDING ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF YOLOAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE AGGREGATE LIABILITY OF YOLOAI UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY THE USER FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT THAT LED TO THE LIABILITY OR ONE HUNDRED DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
These limitations and disclaimers are applicable to the maximum extent permitted by law. Certain jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages, so the above limitations may not apply to all users. In such cases, the liability will be limited to the greatest extent permitted by law.
This section survives the termination of this Agreement and remains in effect indefinitely.
Indemnification
As a condition of using YoloAI Services, users agree to indemnify, defend, and hold harmless YoloAI, its affiliates, licensors, and service providers, as well as their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Any breach or alleged breach of this Agreement by the user, including the Terms of Service and any other applicable policies.
Any use of YoloAI Services that is unlawful or prohibited by this Agreement, including but not limited to the misuse of copyrighted materials or any other unauthorized use.
Any claim that user-generated content infringes on the intellectual property rights or privacy rights of a third party, or that the user content is otherwise unlawful, defamatory, or harmful.
Any disputes or issues arising between the user and a third party, including but not limited to claims of infringement, libel, slander, or other rights violations.
In the event of a claim, YoloAI reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the user, at the user's expense. Users agree to cooperate fully in the defense of any such claims. YoloAI will use reasonable efforts to notify the user of any such claim, action, or proceeding upon becoming aware of it.
This indemnification obligation survives the termination or expiration of this Agreement and remains in effect indefinitely, providing continued protection for YoloAI against any claims arising from the user's actions or use of the services.
Miscellaneous Provisions
Entire Agreement
This Agreement, along with any additional terms, policies, and agreements referenced herein, constitutes the entire understanding and agreement between you and YoloAI regarding the use of the services. It supersedes all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between the parties concerning the services. Any additional or conflicting terms provided by you are not binding unless expressly agreed to in writing by YoloAI.
Embargo Rules
Users must comply with all applicable trade laws, including sanctions and export control laws. YoloAI's services may not be used in or for the benefit of, or exported or re-exported to, any U.S. embargoed country or territory or to any individual or entity prohibited or restricted under applicable trade laws. Additionally, the services may not be used for any end-use prohibited by applicable trade laws. Users are responsible for ensuring that their input does not include material or information that requires a government license for release or export. Violation of these rules may result in the suspension or termination of access to the services.
Severability and Waiver
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be deemed modified to the extent necessary to make it enforceable, while preserving its intent. If a modification is not possible, the provision will be deemed severed from this Agreement. The failure of either party to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision unless acknowledged and agreed to by the party in writing.
Assignment
You may not assign or transfer this Agreement or any rights or obligations under it without the prior written consent of YoloAI. YoloAI may assign this Agreement, in whole or in part, at its discretion. This Agreement will be binding upon, and inure to the benefit of, the parties and their respective successors and permitted assigns.
Modification of Terms
YoloAI reserves the right to modify these Terms of Service or the services provided at any time. Changes may occur due to changes in laws or regulatory requirements, security or safety reasons, circumstances beyond our control, developments in our services, or technological advancements. Users will be notified of any material changes that adversely affect them at least 30 days in advance, either via email or through an in-product notification. These changes will take effect as specified in the notice and will apply only to the relationship going forward. If you do not agree to the changes, you must stop using the services before the changes come into effect.
Governing Law and Jurisdiction
The laws of the jurisdiction where you reside govern this Agreement, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement will be resolved in the courts of the jurisdiction where you are a resident, provided that this provision does not limit YoloAI's right to seek injunctive relief in any appropriate jurisdiction.
